Corporate Counsel (Transactions)

Corporate Counsel (Transactions) Duties: Serve as a commercial/contracts attorney for multiple affiliates, providing support for a variety of agreements including NDAs, intellectual property licenses, master services, vendor and procurement activities, supply, distribution, construction and equipment purchases, real estate, and strategic transactions (including mergers, acquisitions, and joint ventures), among other projects. Identify compliance issues, provide guidance, consultation and conduct periodic employee trainings & presentations on relevant legal and compliance issues. Improve, develop and manage company forms, template agreements, contracts, and provide guidance to increase efficiency and scalability of legal support. Work to implement contract management solutions and systems to reduce risk and increase efficiency. Research complex and nuanced legal issues; create, update and maintain actionable guidelines and best practices. Manage outside counsel in special areas, such as customs and trade, real estate, and antitrust, among others. Resolve, settle, and/or escalate client disputes in concert with in-house and external litigation counsel when necessary. Manage corporate governance functions.

Qualifications: JD with exceptional academic credentials. Admitted, active and in good standing with the New York State bar or with another state bar and registered, or eligible to register, as in-house counsel with the State of New York. 3-6 years of relevant corporate law experience. Experience and confidence independently drafting and negotiating a variety of agreements. Confident ability to convey legal advice clearly, patiently, and effectively to non-legal colleagues and non-native English speakers. Excellent interpersonal skills. Strong presentation skills and comfort level leading discussions relating to legal risk at the executive level. Ability to work effectively with employees at all levels. Strong and astute negotiator with good judgment and strong problem-solving skills. Able to simultaneously manage workstreams, multiple client demands and shifting priorities. Ability to build productive, trusting relationships with personnel at supported businesses by obtaining a strong knowledge of the products and objectives of those companies. Occasional travel for compliance training at affiliates as warranted. High ethical standards and professional integrity. Specific additional experience in the following areas would be ideal: Japanese language skills and/or knowledge of Japanese business practices, M&A, Antitrust, Intellectual Property, The Pharmaceutical Industry, Latin American deal experience and/or language skills.
