Associate General Counsel - Corporate Development

Associate General Counsel, Corporate Development Responsibilities: Partnering with and providing legal support to the Corporate Development function in connection with Merger & Acquisition opportunities, including assisting with the management of the due diligence process; providing advice on legal and transaction structure issues; and assisting in preparing, reviewing and providing negotiating support for non-disclosure agreements, letters of intent, purchase agreements, joint venture agreements, third party consents and other contracts relating to corporate development activities. Assisting in the development of business and deal strategy, advise management (business and legal) regarding risks, requirements and status/progress in connection with transactions and manage outside counsel. Developing and administering training to the Corporate Development function, as well as extended deal/diligence/integration teams in the areas of confidentiality, antitrust, corporate governance, contracts, and other relevant areas. Work collaboratively with a broad range of stakeholders, developing and maintaining strong relationships between the Law Department, and the corresponding Blue Shield business units. Provide guidance and training to legal support staff in support of the Law Department's goals. Qualifications: JD Degree from a respected law school and Bar admission (CA preferred). 7+ years of prior law firm or in-house experience focused on Mergers & Acquisitions. Experience with and exposure to Healthcare transactions (Health Plans and Providers). Strong negotiation and drafting skills. Able to comfortably adapt to change, skillfully and quickly master new responsibilities, demonstrate strong business acumen. A strong drive for excellence, including excellent written, verbal and interpersonal communication skills, with a keen ability to communicate effectively throughout all levels of the organization, as well as across organizations.
