Senior Assistant General Counsel- Litigation

Senior Assistant General Counsel- Litigation The candidate will provide legal advice to the company, subsidiaries and affiliates in all areas of litigation, including material litigation, shareholder litigation, insured litigation, landlord/tenant litigation, bankruptcy litigation, employment litigation, and regarding all other disputes facing the company. Significant litigation is expected following the coronavirus shutdowns and closures and the downturn in the economy. Aggressively pursue risk transfer to insurance carriers and to third parties. Pursue insurance proceeds following casualty events. Report to auditors, prepare quarterly and annual reports and ensure proper accruals. Ensure compliance with company policies. Review all proposed political and charitable contributions. Review all press releases and other public communications. Oversee applications for and protections of trademarks and ensure protection of company intellectual property. Work closely with Human Resources on employment issues, investigations and separations. Work with Capital Markets on issues that arise during financing's and acquisitions and dispositions. Draft approximately 100 contracts every year, including professional services agreements, event agreements, vendor agreements, nondisclosure agreements and separation agreements. Establish objectives and schedules to support and meet business requirements. Advise company in creating workplace policies and procedures in compliance with applicable laws. Understand business requirements and the company s risk tolerance. Communicate with and direct outside counsel on litigation matters. Approve bills from outside counsel and other professionals. Confer with management and makes recommendations regarding strategic planning for business matters. Maintain knowledge of current legal issues. Collaborate with team members to share learning and experiences obtained.

The candidate should have Juris Doctor Degree with excellent academic credentials. Member of a state bar in good standing. Minimum five years of relevant experience at a top-tier law firm, in-house legal department and/or government. Comfort dealing with senior management, especially at the CEO and C-Suite level. Excellent organizational, interpersonal, corporate drafting and negotiation skills. Excellent oral and written communication skills, including demonstrated ability to address issues with precision, clarity and analytical rigor. Ability to manage numerous time-sensitive matters simultaneously in a fast-paced environment.
