Corporate Counsel, Intellectual Property The candidate will perform duties include: Promotes the vision, mission and values by effectively communicating them to others. Considers vision, mission, and values in developing services, standards, and practices.Establishes a risk matrix, assist in defining risk positions, and creates comprehensive, multiyear strategy to protect intellectual property. Advises on and sets Company's legal strategy behind its Intellectual Property program to protect Company's Intellectual Property, including confidential information and trade secrets. Establishes and communicates clear guidance and understanding throughout the organization about the significance and value of a trade secret program, what is protectable business information, and best practice for protecting such information. Researches, advises and implements best practices for corporate intellectual property protection programs. Researches state and federal trade secret statutes and monitors dockets for new developments, approaches and standards. Provides advice and legal opinion on intellectual property issues and federal and state laws and regulations. Reviews, develops and implements policies, procedures and standard terms for agreements to ensure the Company's intellectual property is protected and aligns with the current industry best practices. Sets policies around confidentiality and intellectual property protections. Negotiate and draft trade secret and confidentiality language for license agreements, confidentiality agreements, employment agreements, severance agreements, etc. Strategize and partner with business leaders to set and improve intellectual property protections across the company, including partnering with IT to implement and improve industry-leading technology solutions to trade secret and other intellectual property protections. Establish processes, guidelines and policies for engaging and partnering with legal for review of company information, programs, systems and presentations for trade secret compliance and nuances. Manage and maintains patents, trademarks, service marks, fictitious name filings, licenses, domain names, etc.Establish best practices with Marketing for fair use and ways to avoid infringements of third-party materials; reviews materials for violations. Presents at employee conferences and meetings to educate on guidelines for intellectual property and trade secrets. Manages brand enforcement activity including cease and desist letters, take down requests; negotiates settlements. Leads and manages internal investigations of suspected confidentiality, trade secret, and other intellectual property violations. Handles trade secret/confidentiality violations and pursues all legal remedies.Directs program manager activity to ensure the roadmap is being followed and all of the requisite activities are being completed, that processes are continuously being improved, and all functions in the company are participating in the program as they should. Supervises, assists and manages outside counsel in any intellectual property enforcement actions, evaluating the strength of the claims, conducting risk analyses and evaluating resolution opportunities. Drafts, negotiates, reviews, finalizes and represents the Company and internal clients interests in a broad range of contractual documents.Performs other duties as assigned and modified at direction of Manager or Director of Corporate Counsel.

The candidate must have Juris Doctor degree from an ABA-accredited law school. Should have an active license or officially qualified or admitted to practice law as in-house counsel to the extent as required in the jurisdiction. Eight (8) or more years of experience with trade secret and intellectual property protection, enforcement and litigation. Experience in corporate trade secret protection programs a plus. Experience working on matters of protection and enforcement of Trade Secrets, Intellectual Property and Confidential Information and with a Board of Directors. Experience supervising support staff in a corporation; experience with cost-effective management of outside legal resources; experience managing other attorneys preferred
