In-House Corporate Law Counsel Duties: Providing legal support and guidance to corporate leadership and business units regarding general corporate governance. Assisting in managing the legal organization of the company, including subsidiary formation, re-organization, and dissolution. Managing the company's complex portfolio of international and domestic business registrations. Drafting of minutes, resolutions, powers of attorney and appointments. Managing the company's delegation of authority process. Negotiating and drafting joint venture agreements. Supporting SEC filings preparation and SEC and NASDAQ compliance efforts. Assisting with public company secretary duties and Board support. Participating actively in M&A activities including due diligence investigations, drafting and reviewing purchase agreements and related documents, and executing the transactions. Becoming legal team's SME on IP matters and managing the company's modest IP portfolio. Effectively advising the business to mitigate present and potential future risk and exposure. Developing, supporting and delivering training on corporate law matters. Collaborating with other members of the legal team on corporate-wide initiatives.

Qualifications: JD Degree with active Bar membership in at least one U.S jurisdiction. 3-5 years experience in the field, preferably in a law firm advising private companies or as an in-house counsel or in a relevant government agency. Demonstrated expertise in general corporate law matters; bonus for applicants with experience, interest or aptitude in IP law. Knowledge of US government contracting industry would be a plus. Excellent judgment and ability to timely provide reasoned legal advice. Convey a sense of dedicated professionalism and a level of interpersonal skills to be accepted as a trusted advisor by business leaders at all levels. Flexibility and a willingness to adapt to the changing needs of the enterprise. Excellent communication and organizational skills. Ability to work independently but also proactively as a team player across functional lines. The drive to succeed in a no frills, results-oriented culture.
