Real Estate Counsel The candidate will draft and, in conjunction with the Associate General Counsel and occasionally outside counsel, review, negotiate and revise commercial real estate purchase agreements, retail leases, and acquisition-related documents, including lease amendments, cross-parking/access easements, use restrictions and utility easements, while providing counsel on letters of intent, brokerage representation agreements, confidentiality agreements and other collateral documents. Support the Real Estate Department with a high volume of lease negotiations, lease amendments and other lease related documents, diligence, construction and development in connection with multi-faceted real estate transactions. Work with all levels of the Real Estate department, NVA Pet Resorts, the Legal Department, and others to ensure the various moving parts of many concurrent real estate transactions are accurately and effectively managed. Review, negotiate, and analyze site specific due diligence, including title insurance commitments, surveys and environmental/geotechnical reports, while efficiently communicating key concerns to the Associate General Counsel. Manage and oversee real estate purchases and sale leaseback transactions from start to closing, while ensuring that deal timelines and tasks are effectively completed. Assist the NVA Pet Resorts business in preparing and negotiating lease and construction related agreements, development agreements, site diligence materials, easements, title commitments, and other lease/development related agreements. As needed, coordinate with external real estate counsel, local land use counsel, other internal teams, vendors and service providers. A Bachelor's degree from an accredited undergraduate institution are required. A Juris Doctor degree from a law school with 3-5 years of legal experience in commercial real estate are required. Demonstrated experience in conducting real estate diligence and negotiating and closing both real estate purchases and real estate leases are required. Membership in good standing with a United States State Bar are required. Exceptional organizational skills and the ability to maintain highly detailed records are required. Ability to differentiate between theoretical and real-world considerations in a fast-paced dynamic real estate department that requires a balance between critical thinking and efficient decision-making are required. Excellent communication skills necessary to coordinate amongst deal counterparties, internal teams and business units, professional service providers, and outside counsel are required. Ability to prioritize/re-prioritize multiple projects and/or deadlines in a fast-paced work environment are required.
