Corporate Counsel The candidate will provide legal support to all business units on a day-to-day basis, including providing thought leadership on strategic legal issues and matters, as well as legal support for day-to-day handling of a wide range of business and operational issues. Draft and review legal documents including agreements, contracts, and legal memorandum. Partner with mortgage loan origination business units to assist with structuring extensions of credit and drafting of loan documents. Partner with the Special Assests Department on the handling of problem loans. Partner with the Retail and Business Banking Departments to assist with any legal issues that arise, including reviewing account agreements and account-specific documentation. Conduct complex research and analysis, including interpreting case law, statutes, and regulations to provide guidance to others in conducting Bank operations. Prepare presentations, training, correspondences and reports. Manage responses to subpoenas. Ensures that all corporate and Legal Department records are maintained properly and all corporate and regulatory filing requirements are met. Develop and maintain policies and procedures for the Legal Department and review other department policies and procedures for compliance with applicable laws. Assist with response to escalated consumer complaints. Communicate complex and/or sensitive information to individuals and groups at all levels. Must maintain strict confidentiality. Follow directions from management and Chief Compliance Officer for resolution of issues. The candidate should have Juris Doctor (J.D.) degree; member in good standing of California Bar; or ability to register in California as in-house counsel. Should have 4+ years legal experience at a financial institution or firm experience working with financial institutions. Experience with multi-family and single-family mortgage loan origination and workouts preferred. Excellent analytical, communication, diplomatic, research and writing skills. Highly motivated and results-oriented with a strong work ethic and personal accountability. Ability to make decisions and work independently. Appropriate computer skills and abilities (such as MS Office, LexisNexis, Westlaw, email, etc.).
