Senior Corporate Counsel Responsibilities: Serve as a legal business partner to business executives and their teams responsible for the Residential HVAC and Supply business. The role will advise on day-to-day business matters, including advising, negotiating and providing support in connection with the legal and business risks associated with sales, distribution and supply agreements, legal analysis and interpretation of applicable statutory/regulatory requirements; developing strategic and tactical plans; identifying legal, contractual, and project risks; identifying and analyzing company s claim rights and recovery; and identification, analysis and resolution of quality/customer/project issues. The position will work with outside counsel from time to time and seek to continually improving processes and execution. Provide legal support to and work closely with the Residential HVAC and Supply Consumer Relations team and company litigation team to resolve claims and litigation concerning the Residential HVAC and Supply business, including channel, quality and regulatory matters. Advise, negotiate and provide legal support to the Commercial HVAC business on complex construction projects, including legal, regulatory and contractual risks, agreements and subcontracts, architectural/engineering services and consulting agreements and other construction agreements and matters with building owners, facility managers, general contractors and subcontractors. Provide other general commercial legal support and analysis, including in the areas of quality, marketing and communications. Provide other general commercial legal support and analysis of customer solicitations, proposals and contracts for the sale of equipment, contracting, controls, parts, service, and energy supply, federal supply schedules and agreements and other general commercial areas, including sales, distribution, supply, marketing, communications, and contract management for the Residential HVAC and Commercial HVAC businesses. Serve as a member of the Global Commercial Legal Center of Expertise for general commercial matters, such as marketing, global procurement and/or contract management, and develop and implement consistent standards, processes, metrics, solutions, templates and tools to improve and facilitate best-in-class business and contract processes in the Global Commercial Legal function.

Qualifications: J.D. degree from an accredited US law school. Member in good standing of a State Bar Association. 7+ years ? experience practicing as an attorney; Large law firm and in-house experience required. Strong contract review, drafting and negotiation skills. Proven experience in commercial and transactional matters, knowledge of construction law and generally accepted industry practices and energy supply preferred, but not required. Strong legal judgment. Expert grasp of contracting concepts and superior legal and analytical skills ? excellent judgment and initiative in selecting the most effective solutions and in creating and implementing standard tools to resolve recurring business and/or commercial issues. Excellent oral and written communication and negotiation skills. Strong interpersonal skills with the ability to stand firm on issues with business clients when necessary. Ability to quickly understand business objectives of an agreement, identify related issues, and facilitate a risk/benefit analysis. Business-oriented approach to problem-solving, tempered by an appreciation for legal complexity and risk management. Experience in litigation involving commercial agreements is an advantage. Detail-oriented and resourceful with excellent follow-through skills. Ability to work well under pressure and prioritize and manage workload, manage simultaneous tasks and meet deadlines within a changing, fast-paced environment. Ability to work independently. Ability to work well with colleagues and all levels of commercial and business functions at various location.
