Corporate Counsel Duties: Provide advice, guidance and counsel to Marketing, Sales, Supply Chain Management, Regulatory Compliance/Safety and Quality, affiliates executive leadership, and other relevant functions on management and marketing strategies, product labeling, communications, and policies, practices and initiatives with respect to compliance with relevant biotechnology and food/agribusiness laws, guidance documents or opinions, and industry codes (USDA, FIFRA, FDA, EPA, etc.). Advise internal clients on projects, initiatives, and communications regarding products pending FDA approval Assist with drafting, negotiating, reviewing, and analyzing agreements Interpret key contractual provisions in light of the CJ America s business objectives and business operations considerations, as well as legal or regulatory requirements, and advise internal clients on the ramifications of such provisions Assist in creating and improving agreements and templates for corporate and strategic matters Engage strategically in risk assessment and mitigation and developing innovative approaches to legal issues in support of business objectives Manage all corporate transactional work, including financings, M&A, and other strategic corporate transactions, and partner with the business on deal structure and LOI terms; lead deal agreement drafting and negotiation, and manage due diligence as well as deal process and execution Advise and support on corporate governance-related matters (Support corporate governance and administration of corporate records, including preparing corporate resolutions and other corporate documents) Manage outside counsels Support a wide range of transactional and related corporate legal matters such as real estate and property acquisitions and leases, mergers and acquisitions, labor/employment law, and other miscellaneous matters as they arise, such as banking, corporate compliance, and litigation management. Monitor and analyze new and developing laws, regulations and enforcement activity within the biotechnology industry and incorporate learnings into internal education, messaging and policy development efforts. Assist in trainings and presentations to company on legal issues and policies.

Qualifications: JD Degree from a top accredited law school with strong academic credentials. Admitted to practice in California or admitted as Registered In-House Counsel in California. 5-8 years legal practice experience with 2 or greater years in the Biotechnology/Agribusiness. Experience in drafting and negotiating agreements and contracts and providing legal advice on general corporate matters in the biotechnology industry. Excellent interpersonal, written and oral communication skills. Well-organized and hardworking, with the ability to manage numerous projects simultaneously under deadline pressure. Detailed-oriented with a high level of intellectual, professional and interpersonal agility and flexibility, with the ability to handle ambiguity, combined with strong analytical and problem-solving skills. Team-oriented, ability to form strong working relationships with partners and employees while maintaining firm adherence to proper legal standards and use sound judgement. A can do , problem solving approach looking for the win-win  in dealing with internal members/departments and external counsel, customers and vendors. Ability to lead a team as well as work independently and as a member of a project team. Demonstrated leader and strategic thinker, with a bias to action, the ability to resolve conflict, and operating with determination, passion and a positive attitude.
