Senior Corporate Counsel The candidate will provide senior management and other business partners with strategic legal advice and counsel in all areas of law to further the interests of the business while protecting the company's rights, interests, and reputation. Will also partner with business clients, colleagues in the Firm's Law Department and outside counsel, as appropriate, to support business opportunities while ensuring compliance with legislation, industry guidelines and internal policies. Additionally, proactively pursue, assess and, where appropriate, advance a wide range of proposed business initiatives and materials, including in the areas of information technology, robotics, artificial intelligence, software, cloud, data analytics, sales and marketing, regulatory affairs, health care compliance, privacy, cybersecurity, advanced visualization, business development, medical device hardware and clinical trials. Also be responsible for preparing and negotiating complex commercial agreements in the areas listed above, including consulting, supply, development, sales, distribution, co-marketing and clinical trial agreements; assisting in litigation and investigations and managing outside counsel relationships, work flow and budget; training, educating and advising business partners on key legal topics and leading and serving on project teams and committees to assess and implement special/significant projects in the local business and/or firm's Law Department.

The candidate should have JD degree from nationally recognized university, with all Bar Admissions in good standing required. California Bar preferred if in either California location. Must have 7+ years of experience relevant to the key responsibilities set forth above at a top tier, major market law firm, or in-house legal department of a multinational corporation. Must have meaningful experience in the healthcare industry (medical device sector preferred); strength in general corporate / commercial matters to support key responsibilities (see above), including strong negotiating skills. Anticipating and negotiating data rights, protected health information (PHI), privacy and cybersecurity issues and rights both in the US and outside of the US is required. Prior experience related to information systems, data management, and IT consulting for hospital systems and a CIPP/US will be viewed favorably. Prior experience with website and mobile app development as well as Software as a Medical Device experience is preferred. Working understanding of the role of big data, machine learning, and AI in driving business / clinical insights would be highly regarded. Significant prior experience and ability to analyze, structure, negotiate, and finalize technology partnerships, and collaborations, enterprise SaaS agreements for EHR, PHR, and analytics platforms, preferably with major healthcare providers, IP agreements, BAAs, data processing agreements and digital information exchanges is essential. Must have experience advising on HIPAA & HITECH compliant processes for cloud-based healthcare platforms. Experience advising on applicable healthcare regulations, including AKS and Stark Law is needed.
