Senior Corporate Counsel - Public Sector The candidate will be responsible for: Negotiate and draft master subscription agreements, professional services agreements and other types of agreements with government customers in support of U.S. and Canadian Public Sector Sales and Professional Services organizations. Provide legal advice and counsel on national security, governance, and compliance issues arising from engagements involving classified matters and similar engagements involving the Intelligence Community, Department of Defense and related organizations. Provide input with respect to national security issues when drafting and negotiating licensing, government data rights, consulting services, product support, non-disclosure, and other agreements with customers and partners related to complex cloud computing and professional services being provided to the U.S. Government. Partner with defense industrial security operations, revenue recognition, sales operations, technology operations, and other stakeholder teams to ensure agreements are consistent with internal corporate policies and processes. Partner with Sales and other internal business constituents throughout the customer lifecycle to ensure customer success and protection of salesforce.com. Ensure negotiations are conducted in line with our core values of trust a and transparency. Must have Undergraduate degree and a law degree from highly regarded schools. Should have admission to the bar in one or more states. Must have 12+ years of combined experience in law firm and/or in-house legal department including experience negotiating and drafting technology license service agreements and professional services agreements. Must have thoroughly comfortable and confident functioning as a collaborative and transparent business partner with key internal and external stakeholders. Should have significant experience providing legal advice and counsel on national security, governance, and compliance issues arising from engagements involving classified matters and similar engagements involving the Intelligence Community, Department of Defense and related organizations. Must have excellent written/verbal communication and negotiation skills. Should have familiarity with, or willingness to learn, technical concepts in Web applications. Extensive experience operating within the scope of the National Industrial Security Program and all associated regulations and requirements desired. Security clearance at Top Secret desirable. Knowledge of and practical experience with FAR, DFARS, commercial item procurement, ITAR, EAR, Trade Agreements Act, small business set asides and small business subcontracting, and other unique US Government requirements preferred. Substantive expertise in software as a service transactions desired. Substantive experience with CRM, platform and marketing services agreements a plus. Substantial experience in supporting sales departments as an internal client desired.
