Corporate Attorney DUTIES: Responsible for the preparation, filing and distribution of the proxy statement and other proxy materials for annual meeting of shareholders, including reviewing related director and officer questionnaires and preparing drafts of the proxy statement for review. Oversight for planning and execution of annual meeting of shareholders. Monitor and advise on proxy advisory firm and institutional investor proxy voting guidelines. Assist with preparation and review of Forms 10-K and 10-Q and, as necessary, Forms 8-K. Responsible for NYSE reporting, including the preparation and filing of annual certifications, annual meetings, executive officer and director changes and other matters. Finance and M&A Transactions: Provide support on strategic transactions, such as mergers, acquisitions, divestitures, joint ventures, equity investments, and other complex transactions. Responsible for oversight and performance of legal due diligence activities. Provide support on treasury, tax, and other finance transactions, such as credit facilities, floor plan arrangements, derivative transactions and parent guarantees, including negotiating and drafting documents for such transactions and advising on step plans for various transactions impacting domestic and international subsidiaries. Responsible for transaction NDA drafting and negotiation. Assist with negotiating and drafting term sheets, indications of interest, letters of intent, and transaction documents. Oversight for domestic and international subsidiary governance matters. Perform legal compliance and benchmarking review activities with regard to various governance documents. Monitor governance and ESG scores and ratings and facilitate response to data verification requests. Special projects as assigned.

Qualifications: JD Degree. Attorney licensed to practice law in any state, preference for Minnesota. 3+ years of corporate experience in a law firm with background in securities law compliance (SEC and NYSE) and/or related inhouse experience. Experience with M&A and/or financing transactions, including due diligence activities. Solid understanding of corporate entity structures and charter and other governance documents. Strong business acumen, particularly the ability to read and understand financial statements. Strong oral, written, presentation and listening skills. Demonstrated problem solving and decision-making skills. Articulate and professional. Demonstrated ability to get things done. Ability to work independently and collaboratively across a global enterprise. Ability to work as a member of a high performing team. Positive, goal oriented, self-motivated individual. Proven project management and leadership skills. Maintain highest level of integrity, business ethics and confidentiality. Acute attention to detail and ability to manage to deadlines.
