Associate General Counsel - Corporate

Associate General Counsel - Corporate The candidate will work closely with General Counsel and others on legal and executive leadership teams on a broad range of strategic and tactical transactions and legal initiatives, including supporting other members of the legal team with corporate, transactional, M&A, regulatory, compliance and corporate governance matters. Principal Responsibilities: Supporting the legal team as a corporate generalist. Supporting insurance distribution activities, including drafting, negotiating and overseeing outside counsel's assistance with confidentiality agreements, broker of record agreements, client and vendor agreements, insurance carrier appointments and other insurance-related documents and agreements. Assisting with legal due diligence activities. Assisting with legal compliance activities. Assisting with legal operations activities. Using independent judgment and discretion in drafting, reviewing, interpreting, and negotiating a variety of contracts and other legal documents related to our core business. Advising business teams on compliance with BRP legal policies and procedures. Assisting in the review and development of contract templates and forms in the areas of sales, carrier appointments and corporate governance. Assisting the legal team to respond to inquiries from applicable state regulators. Assisting with regulatory, compliance and corporate governance matters generally.

The candidate should have Juris Doctorate degree and licensed to practice law. Should have 1-3 years of experience at a leading national law firm and/or public company in-house department with corporate or insurance-related experience. Must have excellent communication skills (verbal and written) with the ability to develop shared objectives while influencing and persuading a broad range of individuals. Must be able to make sound judgment calls to give leadership and the partnership team leverage to ensure the best path to success. Should have exceptional problem-solving, organizational and analytical skills and demonstrated attention to detail that reflects well on the firm. Must demonstrates the organization's core values, exuding behavior that is aligned with the firm's culture.
