Associate General Counsel - Regulatory & Compliance

Associate General Counsel - Regulatory & Compliance Principal Responsibilities: Supporting insurance distribution activities, including drafting, negotiating and overseeing outside counsel's assistance with confidentiality agreements, broker of record agreements, client and vendor agreements, insurance carrier appointments and other insurance-related documents and agreements. Coordinating and conducting legal due diligence activities and working closely with our M&A, accounting, HR, IT and integration teams to execute partnership strategy vis- -vis the insurance regulatory environment. Developing, refining and implementing policies, procedures and tools to ensure compliance with DFS/DOI/OIR and other insurance-related regulatory and listing requirements applicable to companies in industry. Using independent judgment and discretion in drafting, reviewing, interpreting, and negotiating a variety of contracts and other legal documents related to our core business. Advising business teams on compliance with legal policies and procedures.Assisting in the review and development of contract templates and forms in the areas of sales, carrier appointments and corporate governance. Responding to and interacting with inquiries from applicable state regulators. Assisting with regulatory, compliance and corporate governance matters generally. Will work closely with our General Counsel, Chief Operating Officer and others on our legal and executive leadership teams on a broad range of strategic and tactical transactions and legal initiatives, including insurance licensing, filings, agreements and related regulatory, compliance and corporate governance matters. The candidate should have significant insurance industry experience to join growing legal team. Must have Juris Doctorate degree and licensed to practice law. Should have 8-15 years of experience at a leading national law firm and/or public company in-house department with significant insurance law experience. Must have excellent communication skills (verbal and written) with the ability to develop shared objectives while influencing and persuading a broad range of individuals. Must be able to make sound judgment calls to give leadership and the partnership team leverage to ensure the best path to success. Should have exceptional problem-solving, organizational and analytical skills and demonstrated attention to detail that reflects well on the firm.
