Labor and Employment Law Attorney The candidate to protect the legal interests of the company by providing legal services to the corporation and its affiliates. Provides legal counsel and support to various departments of the company, including members of senior management and the company's affiliates and subsidiaries, to resolve various problems of a legal or interpretative nature including, but not limited to, insurance regulatory, corporate governance, regulatory and statutory compliance matters, labor and employment, immigration, administrative matters, privacy and related health care law concerns, compliance matters, participating provider relations, legislative developments, and intellectual property. Analyzes, interprets and drafts various legal and compliance documents, including legal opinions and associated analysis, contracts and other agreements, proposed legislation, and certain policies and procedures. Reviews, analyzes, approves and/or directs the processing of certain legal and compliance documents, as warranted and required in the operation of the department, including internal policies and procedures, materials relating to employer groups, subscribers, providers, and documents relative to other third parties, including but not limited to contracts and other agreements. Supports or oversees, as warranted, the formation, merger, reorganization and/or acquisition of certain corporate entities and related transactions and draft, where appropriate, corporate governance documents and board, shareholder or corporate member resolutions. Supports or oversees, as warranted, and with the assistance of additional and appropriate departmental staff, the company's response to litigation of certain court or administrative matters. Provides legal counsel on labor and employment related matters for the company and its affiliates, which may include, but is not limited to, human resources issues, wage and hour law, workers' compensation, unemployment and other state agency claims, labor relations, employee benefits, employment agreements and policy related issues, FMLA matters, health, welfare and benefit plans, employment related litigation, grievances and arbitrations. Develops multi-state expertise in all aspects of employment law compliance and provide legal advice and counsel on application of applicable laws, including but not limited to, the Fair Labor Standards Act, Employee Retirement Income Security Act (ERISA), Family and Medical Leave Act (FMLA) and Military Family Leave Act (MFLA), Americans with Disabilities Act Amendment Act (ADAAA), Workers' Compensation laws, Civil Rights Act, and Occupational Safety and Health (OSH) Act. Collaborates in the development and implementation of human resources policies and procedures with guidance from human resources management. Provides advice and counsel regarding organizational design and other new or existing projects or initiatives involving impacts to people in partnership with the Human Resources teams and other relevant cross-functional teams. Provides advice and counsel regarding all facets of the Company's hiring and separation processes. Supports the development and implementation of Company philosophies, guidelines and policies relating to all areas of employee relations, labor relations, and employment law. Assisting with the development and delivery of employee training content. Manages claims, charges and grievances filed against the company and support in-house and outside counsel with the management and defense of employment litigation. Assists Human Resources and the Compliance Department with workplace investigations into alleged wrongdoing. Perform other related assigned duties as necessary to complete the Primary Job Responsibilities as described above.

The candidate requires a law degree, admission to a state bar and 10 years' legal experience with 7 years of experience representing private sector employers in labor and employment matters. 5 years' experience as in-house counsel for an insurance company or related industry preferred. Will accept any suitable combination of education, training or experience. Requires knowledge of corporate and regulatory law, including regulation of insurance entities; knowledge of corporate law, insurance law, health and benefits law, and/or employment law preferred; strong verbal and written communication skills; the ability to work independently; and the ability to identify, analyze and resolve highly complex business problems using independent judgment, including the ability to provide recommendations to executive management.
