Associate Counsel / Corporate Counsel - Commercial Contracts

Associate Counsel / Corporate Counsel - Commercial Contracts RESPONSIBILITIES: Draft and negotiate technology agreements, including software as a service (SaaS) agreements and software license agreements. Work with partnership teams to negotiate and document partner/distribution relationships. Negotiate ancillary agreements, such as NDAs, privacy agreements, and security agreements. Track document approval and signature process to ensure that agreements are in place when required and are properly executed in compliance with company policies. Review and demonstrate ownership of various form agreements. Coordinate with sales, product, compliance, security and other business units in updating templates and negotiating a wide variety of commercial contracts in a fast-paced and dynamic environment. Learn and understand industry standards that apply to the digital certificate industry and ensure that negotiated commercial contracts include provisions required by industry standards.

QUALIFICATIONS: JD degree or similar. Licensed to practice (and in good standing) in at least one state in the United States. 3-8 years relevant post-law school experience. Experience with contract negotiation, interpretation, and administration. Excellent business acumen, well-developed problem-solving abilities, high emotional intelligence. Strong work ethic, a hands on  mentality, accountability, and the ability to work in an extremely fast-paced, ever-evolving business environment. Adaptable; flexible; comfortable with uncertainty and ambiguity. PREFERRED: Experience at a top international law firm. Previous technology transactions experience. Knowledge or experience in data security and privacy. Knowledge of or experience with digital certificate industry.
