Assistant Counsel- Corporate Responsibilities: Draft, review and advise on the company's SEC filings (10-K, 10-Q, 8-K and proxy statement) and other disclosures. Ensure compliance with NYSE and other corporate laws, rules and regulations. Manage internal training program, policies and processes relating to disclosure. Draft and negotiate agreements for corporate transactions including acquisition, sale, joint venture and development or cooperation agreements. Provide guidance on transaction structuring. Support the company's transactional matters relating to renewables and clean energy. Provide counsel and guidance on the company's sustainability, climate change and Environmental, Social and Governance efforts including the annual sustainability report and the company's political contributions disclosure, as well as reporting to the board of directors. Support the company's corporate governance matters, including proxy governance, subsidiary management and preparation of materials for the board of directors. Manage shareholder engagement with respect to proxy governance issues. Provide legal support relating to director, executive and employee compensation including review of compensation and benefit plans, applicable laws and internal policies. Provide legal counsel on insider trading compliance including requirements relating to Section 16, 10b5-1 plans and preclearance. Manage internal training program, policies and processes relating to insider trading compliance. Advise on, draft, and negotiate corporate financing agreements with respect to capital market transactions and credit facilities. Provide legal guidance to the company's Treasury, Finance and Accounting groups. Research and monitor developments in state and federal corporation laws and corporate governance best practices. Work closely with Investor Relations and Corporate Communications on earnings releases, investor conferences and external communications and disclosures.

Qualifications: 5+ years of experience working in law firm or in-house law department on corporate matters. Undergraduate degree and JD Degree. Admitted to the Bar in at least one state or the District of Columbia and eligible for admission in New Jersey. Excellent oral and written communication skills. Superior legal analytical ability. Ability to independently handle matters, identify issues and develop strategies with minimal supervision. Desired: Mix of law firm and in-house experience. Experience managing corporate governance, securities, financing, mergers and acquisitions and disclosure matters. Experience advising senior management or board of directors regarding corporate matters. Experience handling energy transactions.
