Corporate Attorney

Corporate Attorney Duties: Prepares, reviews and negotiates contracts, leases, licenses, etc. Reviews statutes, rules, opinions and similar materials on a broad range of topics to identify potential legal issues and solutions. Investigates and analyzes a broad range of complex legal issues to develop and execute case assessment and strategic litigation plans, oversees outside counsel and attends mediations and settlement conferences. Coordinates subpoena responses and provides litigation support. Conducts internal investigations. Provides legal support in corporate transactions, including mergers and acquisitions, asset purchases and joint ventures. Researches state laws pertaining to professional engineering license requirements, stays abreast of changing applicable laws and processes corporate entity and professional engineering licensing registrations in appropriate jurisdictions. Respond to internal legal inquiries covering a broad range of topics and efficiently formulate guidance and responses. Drafts corporate resolutions and maintains corporate minute books. Performs all related duties, as assigned. Effectively leverages negotiating strategies and tactics to reach mutually agreeable solutions. Focuses on win-win solutions. Outlines requirements, contingencies and timetables that help drive discussions toward completion. Bases decisions on a systematic review of relevant facts and information. Avoids making assumptions or rushing to judgment. Provides clear rationale for decisions. Expresses ideas and information in a clear and concise manner. Tailors message to fit the interest and needs of the audience. Delivers information in a manner that is interesting and compelling to the listener. Skilled at finding logical flaws in arguments and plans. Identifies problems and solutions that others might miss. Provides detailed insight and constructive criticism into problems and complex situations. Considers long-term consequences and implications associated with actions or events. Sees relationships between diverse systems, organizations, or environments. Considers problems from a range of viewpoints.

Qualifications: JD Degree required from accredited law school. 5-7 years of relevant experience. Member in good standing of a state bar and eligible for registration to practice as in-house counsel in appropriate jurisdiction. Commitment to integrity and ethics. Must be skilled in construction law and have familiarity with risk management and employment law. Must have knowledge of computerized legal research methods and databases. Must have excellent verbal and written communication skills. Must display excellent customer service to meet the needs and expectations of internal clients, exercise strict confidentiality in all matters, recognize business impact of legal advice and ability to work independently and adapt to changing job requirements. Must have ability to interact in a positive, respectful manner and establish cooperative working relationships.
