Senior Corporate Counsel, Latin America Responsibilities: Develop a strong understanding of businesses, goals and challenges and identify appropriate legal and compliance strategies to facilitate those goals and minimize risk; Establish and maintain strong business relationships with local leadership and educating them about how to appropriately leverage in-house counsel by maintaining a high level of quality communication; Draft, review, and negotiate commercial contracts, and interpret existing agreements, including the provision of legal advice regarding relationships with customers, suppliers, landlords, and other third parties and ensure contract standards are maintained; Coordinate and draft corporate documentation including organizational documents, equity/share capital structure, corporate minutes and resolutions, and manage and coordinate all annual reports and filings as needed and maintain governance and compliance to ensure the all necessary approvals are received; Monitor and maintain current knowledge on legal and regulatory landscape to ensure the appropriate application of all laws and regulations relating to the Company's activities. Deploy and and maintain compliance and ethics initiatives including the provision of training and guidance to business personnel. Conduct compliance-related investigations and implement action plans to remediate identified issues; Manage employment matters, providing counsel to the HR department on policies and procedures, handling employee relations, investigations and litigation; Pursue, defend, and prosecute commercial disputes, claims, and litigation matters, while overseeing outside counsel as needed and providing regular, clear communication to affected business function about the status of the dispute including the main issues and opportunities; Provide practical legal advice and support to business personnel with respect to marketing, intellectual property, technology licensing, and finance. Support corporate quality and continuous improvement processes; Develop new and drive the continuous improvement of standard form agreements and legal processes; Manage external legal counsel, and evaluate their activities for special projects that cannot be conducted by the Legal Affairs department. Identify and execute opportunities for continuous improvement, efficiency and savings in providing legal services; Perform other related duties as needed, including the support of M&A activities from time to time. Qualifications: A JD Degree or equivalent law degree from an accredited law school and admission to the Illinois bar; 5-7 years of relevant business law experience in an international environment; A broad knowledge base in areas appropriate for an experienced in-house counsel for a professional service provider in Public Health, coupled with the ability to quickly learn and grasp the legal importance of new and unfamiliar issues; The demonstrated ability to function as a legal generalist with international law experience and promptly provide practical legal advice to experienced business managers in a fast-paced commercial environment; Strong interpersonal skills in order to build and maintain productive relationships with leaders of other functional areas within and across the business to seek alignment on objectives for the benefit of company; Strong written and verbal communications skills are necessary in order to act as a change agent through dynamic interactions with others; Demonstrated ability to manage and prioritize multiple projects; Highly motivated with the ability to be proactive, take initiative, and carefully monitor, follow through, and complete projects in a professional and timely manner; Professional maturity and confidence in expressing a point of view with senior management.
