Corporate Attorney The candidate will provide legal support to its medical business with respect to a variety of commercial, compliance and corporate matters. Reports to the General Counsel and is responsible for reviewing, drafting, and negotiating various agreements and other documents, providing legal analysis and counsel to internal clients as well as legal and compliance colleagues, and anticipating and guarding against legal risks facing the company. Review, prepare, negotiate, interpret, and draft agreements on a variety of business matters, including but not limited to consulting, sales, patent and know-how licenses, research and development agreements, material transfer agreements and confidentiality agreements. Advise senior management on various legal and compliance issues and risks, areas of exposure, and strategies to overcome the various legal and compliance issues, risks and areas of exposure. Liaise with and coordinate compliance activities with Corporate Compliance Department. Manage and track the Company's contractual agreements. Develop and train management on a variety of legal and compliance matters. Analyze and guard against legal risks and areas of exposure facing the Company. Develop, recommend, and draft Company policy and position on legal and compliance issues. Conduct and coordinate research into a variety of legal and compliance issues. Represent the Company or its officials in various legal proceedings. Coordinate and manage the work of outside legal counsel. Interact with Company and outside companies on relevant legal matters. Provide supervision and guidance to paraprofessional(s) in the Legal Department. Perform other duties as assigned. The candidate requires a J.D. Degree from an accredited law school and 5 years of commercial, compliance, and corporate experience with a law firm or in-house legal department. Must be a member in good standing of all State Bars where licensed to practice law. License to practice law in accordance with Michigan state bar requirements preferred. Intermediate computer software skills, i.e. Microsoft Office. Experience in highly-regulated industry required; medical device or life sciences experience preferred.
