Associate Corporate Counsel

Associate Corporate Counsel Duties: Provide legal support on various types of transactions, including equity investments, joint ventures, credit facilities, corporate financing, corporate restructurings, and mergers and acquisitions, including due diligence, negotiation of terms, drafting of documentation, and regulatory filings. Prepare and review inter-company agreements and support other general corporate matters such as press release, website and communications review, contract review, company policy review and preparation of board/committee materials. Provide legal support on SEC, NASDAQ, HKEx and other securities filings. Coordinate, document and maintain records for all due diligence requests and the Company's electronic datarooms. Provide counsel in support of the Company's equity plans, programs and grant agreements. Engage and manage the work of the outside counsel. Develop a solid network of relationships inside and outside of the organization to support the objectives of the Legal and Compliance team and the business as a whole.

Qualifications: JD Degree or Master of Laws from an accredited law school in the U.S. 3+ years of relevant experience handling corporate and transactional matters either at a law firm or as in-house counsel. Qualified or to be qualified to practice law in the U.S. PRC bar admission is a plus. Strong preference for Chinese language proficiency and experience working on China transactions. Prior experience handling corporate transactional matters, including M&A, financing and other types of transactions. Experience negotiating complex corporate transactions; excellent drafting and negotiating skills and a solid understanding of transaction life cycles. Proficiency in the Microsoft Office Suite and using legal research and enterprise tools. Highly effective communication skills (both verbal and written in English). Solid project management skills. Evaluate legal exposure, manage risk, and interpret and apply laws, regulations, case law, statues, and policies to provide expert advice. Proactive approach to recognizing business needs, anticipating issues, and determining next steps and actions. Strong business acumen; ability to contribute strategically to the Company's business. Team player with ability to collaborate proactively with cross-functional teams across multiple time zones and interact effectively with all levels within the Company. A demonstrated ability to work independently, balancing competing priorities in a fast-paced, deadline-driven environment with a high level of professionalism. Highly detail-oriented. Ability to handle confidential and proprietary information using excellent discretion and judgment. Self-motivated, reliable and responsive. Ability to be flexible and willing to accept new responsibilities as needed.
