Contracts Counsel The candidate will report directly to the Commercial Contracts Counsel and will be responsible for reviewing, drafting, and negotiating a wide range of agreements in support of all of First Quality's businesses. This position requires a thorough understanding of First Quality's multifaceted business, including its products and competitors, in order to support the achievement of business objectives. Draft, review, interpret, and negotiate contracts with suppliers and service providers of all types, including master service agreements, statements of work, software licenses and SaaS agreements, transportation agreements, equipment purchases, construction agreements, and material supply agreements. Negotiate sales and other commercial contracts with our customers. Facilitate internal contract approval and stakeholder negotiation from initial request through execution. Proactively identify solutions to complex legal issues that will eliminate or mitigate risks to the Company. Effectively evaluate commercial and legal risk with respect to the Company's contracts. Educate business partners on key commercial, legal, corporate policy and other considerations to ensure timely performance and adherence to terms of contracts. Prepare contract summaries to assure proper interpretation of contracts. The candidate should have Juris Doctorate degree and membership in good standing with the NY State Bar. Minimum of 3+ years of relevant law firm and/or in-house experience. Experience working for a manufacturing company strongly desired. Demonstrated ability to effectively communicate on complex legal and commercial issues. An ability to work autonomously and confidently when carrying out all critical job functions. Proven negotiation skills and business acumen. Ability to deliver strong results under tight deadlines and with a high degree of accuracy. Utilizes a solutions-oriented approach without compromising the best interests of the company. High degree of professional ethics and integrity. Excellent oral and written communication skills. Ability to maintain strict confidentiality of sensitive information.
