Corporate Counsel The candidate will be reporting to the Chief Legal Officer, this attorney will be working on financings, contracts, corporate governance, SEC reporting, strategic transactions, and compliance matters. The ideal candidate will also oversee and advise our Contracts Manager on various contracts and work with outside counsel and our Head of IP on more complex, strategic transactions. You will interface with all levels of management and work closely with finance, business development, investor relations, human resources, R&D, manufacturing, tech ops, and clinical teams. Will impact the business and operations through legal advice provided and the direct negotiation of agreements. Key areas of responsibility: Partner with business development, finance, HR, R&D, tech ops, and clinical to negotiate and execute a wide variety of contracts: domestic and international clinical study agreements, vendor agreements, material transfer agreements, non-disclosure agreements, consulting agreements and other contractual matters affecting the daily operations of a biotechnology company; Support compliance with SEC and NASDAQ rules and regulations, Sarbanes-Oxley Act, Regulation FD and company-wide policies, including reporting requirements under the Securities Exchange Act of 1934 and the Securities Act of 1933; Assist with developing, refining, and maintaining policies and procedures to ensure compliance with SEC and other securities-related regulatory requirements; Assist with corporate governance and compliance with third-party obligations and advising the management team on these issues; Provide day-to-day legal advice to all levels; Work with different functional areas to identify, assess, and address general legal concerns; Provide legal advice and support in a wide array of practice areas and special projects as needed; Draft/review policies and guidelines; Assist in the management of disputes and litigation matters.

The candidate must be practicing Massachusetts J.D. with 4-8 years of experience in a fast-paced environment of a biotech company and/or the life sciences practice of a major law firm. Should have demonstrated expertise with drafting, negotiating, and finalizing different types of agreements. Must have ability to negotiate effectively with internal partners and foster collaboration and compromise. Should have demonstrated experience in corporate law, including experience with SEC and NASDAQ rules and regulations, corporate governance, and corporate finance. Must have developed sense of judgment, risk management skills, and ability to balance legal matters involving multiple stakeholders and various priorities; ability to balance regulatory obligations and reputational risks in an objective, practical way; and demonstrated ability to grasp the "big picture". Should have exceptional written and verbal communication skills; strong negotiation skills with solid business judgment. Should have strong understanding and a high degree of personal ethics, integrity, and accountability.
