Director Corporate Counsel Duties: Provide solutions oriented, proactive, high quality, legal advice and counsel on a wide variety of matters, with a particular focus on utility regulatory matters, business development and corporate and commercial matters, including rates and other regulatory filings and hearings, and business development deal structure, document drafting, due diligence, and negotiations. These duties extend to real estate transactions (purchase, sale, and easements), engineering projects and environmental matters. Direct, participate in and assist in judicial and administrative proceedings, with responsibility for specific items or entire proceedings as appropriate. Such matters include but are not limited to: utility commission and environmental protection proceedings, general litigation, mediations, arbitrations, administrative hearings, customer complaint proceedings, and other dispute resolution proceedings. Provide legislative/regulatory evaluations and advice, including the drafting of proposed legislation or changes thereto and providing explanation of the organization's position on such matters for legislators and governmental stakeholders. Contribute to effective communication by listening and providing constructive feedback; supporting the creation of an open and honest work environment; cascading and sharing knowledge and information relevant to other members of the team and colleagues across the business. Represent the organization in making presentations before internal and external committees, boards, commissions, and/or other governmental organizations. Assist in the maximization of quality, cost and efficiency of acquired external legal services. Support management of state legal budgets and spend. Report to Divisional General Counsel while providing services to state subsidiaries in New Jersey and elsewhere. Perform other projects as assigned by the Vice President & Deputy General Counsel or Executive Vice President & General Counsel and state Presidents.

Qualifications: JD Degree from accredited law school. 5+ years of experience as a licensed, practicing attorney. Experience before a state utility commission or administrative agency desirable. Licensed to practice law in New Jersey, with ability to obtain professional licensing reciprocity or corporate in-house attorney status in other divisional states, if available. Expertise in one or more practice areas relevant to the business; i.e., public utility laws and regulations, litigation, financing, corporate & commercial transactions, property, labor & employment, environmental, mergers & acquisitions and other business development transactions, administrative law, real estate transactions, environmental, and administrative law. Excellent written and oral communication, analytical and drafting skills. Strong interpersonal skills with an emphasis on initiative, knowledge sharing, teambuilding and decision-making. Strong business acumen and leadership skills. Ability to work collaboratively on a variety of teams. Excellent organizational and project management skills and the ability to manage multiple priorities and crisis situations. Ability to balance legal risks and business objectives, providing a range of solutions and relative risk related to each. Ability to handle sensitive/confidential information in a proper manner. Work effectively with all levels within the organization as well as key external stakeholders.
