Counsel - Intellectual Property, Technology & Data Privacy Law Duties: Provide practical, proactive legal advice on a broad range of intellectual property, software, data privacy and cybersecurity topics, including software development agreement, software service level agreements, SaaS agreements, data privacy procedures, training, audit and incident response. Provide advice on customer facing commercial contracts relating to such issues. Provide advice on commercial contracts for direct and indirect procurement efforts as they relate to software, data privacy and cybersecurity. Support organization s data privacy and data security strategy in coordination with external counsel and internal stakeholders. Work with the Information Technology and Cybersecurity teams to provide guidance and review data protection impact assessments for products, services and business processes. Assist in developing and revising data privacy and data security procedures based on new and emerging legislation and business requirements. Participate in and support efforts to audit and assess the effectiveness of data privacy and data security compliance measures. Provide legal advice in connection with cybersecurity preparedness and incidents. Draft, review and support commercial negotiations regarding software development and procurement, including data privacy and data security contractual provisions in a wide variety of commercial agreements. Prepare and deliver training materials regarding data privacy, trade secret and technology procurement best practices. As needed, consult on international data privacy, technology and intellectual property issues, working with the Company s Information Technology department, international product management teams, the Chief Intellectual Property Counsel and local counsel. Maintain up-to-date knowledge of relevant laws and share that knowledge across various teams, including educating other members of the Legal and Information Technology Departments. Assist with various complex and/or sensitive projects, as assigned. Depending on workload and experience, assist with projects in related Intellectual Property areas as assigned. This position reports to the Chief Intellectual Property Counsel. This position will work actively with internal clients across many business units in the information technology, product management and product development departments and requires ability to travel up to 10%.

Qualifications: JD degree and membership in good standing in one state bar is required and ability to obtain Authorized House Counsel credential if not admitted to the Connecticut bar. 3-5 years of experience in the areas of software, information technology, data privacy and cybersecurity law required. Knowledge of software contract practices including drafting and reviewing development agreements, inbound and outbound software licenses, end user license agreements, software escrow agreements, source code compliance tools and open source software issues. Knowledge of global privacy regimes (US & State privacy laws, GDPR, PIPEDA) and keen interest in staying abreast of global privacy developments. CIPP certifications preferred (e.g. CIPP-E). Knowledge of cybersecurity frameworks including the NIST framework and supporting product teams through development practices, procurement, risk assessment and incident response planning. Effective communicator, with the ability to establish and maintain effective relationships with clients, coworkers, and colleagues. Possess strong organizational skills and the ability to handle multiple assignments at once and balance competing demands. Good judgment, a high level of professional integrity, maturity and the discretion, tact and ability to maintain confidentiality. Experience with information technology systems procurement preferred. Prior law firm and in-house experience preferred. Experience obtaining trademark registrations and/or patent attorney registration a plus.
