Corporate Counsel Duties: Reviews, drafts, and advises on agreements of varying complexity relating to the business needs, including: Advertising and marketing materials, including press releases, packaging, product launch collateral, sweepstakes and promotions. Master Service Agreements (MSA s) and Statements of Work (SOWs). Non-Disclosure Agreements. Consulting Agreements. Independent Contractor Agreements. Talent Services Agreements. Sponsorship Agreements. Vendor Agreements. Waivers and releases. Builds strong relationships with internal business partners to mitigate risk yet be a trusted business advisor. Maintains current understanding of best practices related to legal issues in product development and marketing, demonstrates familiarity with intellectual property and privacy matters. Qualifications: JD Degree from an accredited law school. Current member of the Massachusetts Bar or Massachusetts Registered In-House Counsel. 5-10 years' experience, with 2+ years' experience with a legal firm and 3 years' experience in-house as a transactional Attorney. Excellent skills in analytical thinking, specifically, the ability to identify and define problems, collect data, establish facts, and develop substantiated conclusions. Ability to establish trust and rapport with business units. Ability to multitask with competing priorities- must be able to track and manage multiple projects to ensure nothing is missed. Attention to detail and accuracy is critical. Ability to work effectively under multiple time deadlines. Ability to work independently, identifying and resolving problems in a timely manner with minimal supervision. Must be able to maintain confidentiality in all matters. Exceptional communication (oral and written), research and customer service skills. Intermediate or advanced computer skills including Microsoft Office Suite (Word, Excel, PowerPoint), Google (Gmail, Google Docs), and online research (required), and Westlaw Research (preferred). Excellent interpersonal skills; listens, asks relevant questions, and gets clarification when necessary. Takes independent actions and asks for and offers help when needed. Adheres to all Company Policies & Procedures and Safety Regulations. Adheres to local, state, and federal laws. Additional responsibilities as assigned by Associate General Counsel.
