Corporate Counsel Duties: Assist in providing counsel for strategic investment and corporate venture transactions. Advise on corporate responsibility/ESG matters and disclosure. Support compliance with securities reporting and disclosure obligations and assist with oversight of subsidiary management matters. Serve as advisor to management-level Risk Committee and provide legal support, as necessary. Assist in the management of a senior paralegal and administrative assistant. Assist in providing structuring, negotiation, and drafting advice and counsel for the Company's investment and corporate venture transactions, partnering with the business development team to evaluate, negotiate, and close strategic investments in targeted companies and funds. Advise on corporate responsibility/ESG matters, including research and monitoring of related disclosure, governance, and compliance trends and developments. Assist in the production of the Responsibility Report in partnership with internal teams. Support the Company's Securities and Exchange Commission, New York Stock Exchange and Sarbanes-Oxley compliance. Draft, review and revise Securities Exchange Act documents, including Forms 3, 4, 5, 8-K (Current Reports), 10-Q (Quarterly Reports), 10-K (Annual Reports) and 14A (Proxy Statements). Provide advice and counsel to the Risk Committee and assist with the management of the Committee's activities. Assist in management and oversight of CarMax subsidiaries compliance with state corporate laws, including annual meeting requirements and state name reservation, d/b/a and formation filings. Provide support for the operation of the Company's equity compensation plans, advise on executive trading disclosures under Section 16, and assist in oversight of the Company's insider trading program. Lead special projects on an as needed basis. Assist with managing a senior paralegal and an administrative assistant associate. QUALIFICATIONS: Law degree. Member in good standing with the bar of a U.S. jurisdiction. 3+ years of legal experience.
