Corporate Counsel The candidate' will provide you the opportunity to negotiate contracts directly with our vendors, requiring in-depth work with and understanding of agreements for a variety of products and services, including SaaS, licensed software, consulting, professional services, and hardware, as well as NDAs, evaluation agreements, teaming agreements, standard terms and conditions, service level agreements, and master services agreements. Will find creative solutions that meet both its vendors' business and compliance needs and ensure that negotiated contracts comply with Blue Yonder policies and business practices, and regulatory requirements. Coordination with various stakeholders and subject matter experts in various roles, including procurement, information technology, security, sales, marketing, corporate legal, and finance to help drive transactions to successful completion within the required (and oftentimes aggressive) time frame. Will also maintain and enforce contracting policies, which will involve obtaining and documenting approvals for non-standard terms and pricing, assisting departments with on-going administration of contracts, advising management on contractual terms and risks, and providing training to other departments on contract issues and negotiation strategies. You will need to be adept at using your judgment and making sound decisions quickly in order to facilitate deal execution while minimizing risk to Firm s interests. Will also assist and help manage the contingent worker process, including review and negotiation of contracts and NDAs for contingent workers. Will also review, draft and negotiate other types of legal agreements as assigned. And, perform other responsibilities and special projects in support of the legal team s goals and initiatives as assigned.
