Corporate Counsel - Capital Markets

Corporate Counsel - Capital Markets The candidate will support for public and private debt and equity offerings, credit agreements and related matters. Will assist on preparation and filing of 10-Ks, 10-Qs, 8-Ks, proxy statements, Section 16 reports, and other SEC-related documents and disclosure issues (Reg FD). Assist with the Company's securities offerings. Assist with planning and executing the annual meeting of stockholders. Work closely with senior leadership and investor relations regarding disclosure matters. Assist with public company communications, including press releases and investor presentations. Assist with administering insider trading policies, 10b5-1 plans, and related employee and director equity matters. Support the Treasury function, including advice on compliance with debt covenants. Support the public company secretarial function, including assisting with the preparation of Board and committee materials. Support Internal Audit with SOX compliance matters. Support strategic corporate and mergers and acquisitions matters and transactions. Stay current on governance trends and best practices, SEC and NYSE developments. The candidate should have J.D. Degree from a top-tier law school in the U.S. and licensed to practice law in good standing in in at least one state in the United States. Must have 7+ years of experience in capital markets and advising public companies on compliance with 33 and 34 Act matters, NYSE/Nasdaq listing requirements, and corporate governance. Prior experience working as a corporate securities attorney at a reputable law firm or in the corporate legal department of a public company is required. Must have excellent academic credentials.
