Senior Counsel, Commercial Real Estate The candidate will work closely with members of the CRE team in drafting and negotiating legal provisions of term sheets and loan documents; assist in resolving legal issues in partnership with the CRE team and other internal parties; work with asset management team and outside counsel on amendments, modifications to loan documents and matters related to asset-related litigation, workouts and foreclosures. Will work with Amherst's capital markets team, compliance manager and in-house and outside counsel on ACAM's capital markets activities, including the documentation of securitization and repurchase and subscription facilities. Advise CRE team, including asset management team, on ongoing capital markets matters, such as loan eligibility for CLO and contribution of assets to CLO. Review and approve investor relations materials related to the CRE business line. Review and summarize salient terms of corporate and fund-related documents, advising team members on such key provisions, as needed. In collaboration with CRE team and outside counsel, maintain form loan documents and draft relevant updates in coordination with outside counsel. Escalate any out of the box legal issues arising in loan documentation and due diligence to Senior Managing Director, compliance manager and/or EVP/Corporate Counsel and work towards acceptable solutions, taking into consideration the needs of all parties. Attend CRE credit committee meetings, opining as needed on legal issues that are considered in the approval process. Review and negotiate non-disclosure agreements, vendor agreements, engagement letters, and other corporate agreements. Advise on real estate-related financing, acquisition, sale, leasing and joint venture matters, as needed, in support of Amherst's residential and other business lines. Other such matters as requested by management, including, without limitation, direct manager(s) and the Senior Managing Director.

The candidate should have 5-7 years experience with a focus on commercial real estate finance, including CRE CLOs. Must have JD degree from an ABA accredited law school and membership in good standing with the state bar At least 3 years of relevant experience with a large law firm, admitted to state bar and in good standing. Proven record of providing strategic legal analysis and advice and being a creative problem solver is required. Must have ability to exercise strategic judgment in evaluating and resolving issues; Able to critically examine business practices and work as part of a team to resolve complex issues in a creative, collaborative manner. Must have proven record of integrity and experience working well with colleagues throughout an organization. Must have excellent verbal and written communication and presentation skills, including effectively communicating complex legal concepts clearly. Must have strong organizational skills and accountability with record of consistent follow through and meeting deadlines.
