Counsel, Contracts The candidate reporting to the Chief Counsel - Transactions/M&A, the role of Counsel, contributes to the Law Group and Company's success within the Law Group Contracting Center of Excellence (COE). Under the day to day direction of the Assistant General Counsel and COE Senior Director, will be responsible for contributing to the design and implementation of programs to support the COE in the COE's effort to provide effective, efficient and consistent contracting support to Global Procurement and Technology & Global Services within a highly regulated manufacturing environment. The Counsel, Contracts will interact with Functional and Law Group leaders, attorneys and other paraprofessionals to create contracts and improvements to contracting processes including templates and playbooks to meet the operational and functional objectives of the COE and its clients. Work with the Law Group Transactions Group Leadership Team to support the development and implementation of the COE for contracts focused on the delivery of effective and efficient contracting. Assist in the development of key monthly and quarterly business metrics for assigned areas. Work closely, and interact directly with and negotiate and manage budgets with outside Law Firms for discrete contracting matters as applicable. Act as primary contact for internal clients and stakeholders for assigned contracting areas. Complete ad-hoc and special projects as requested/required. Prepare and update contract templates. Drive the development and updating of playbooks for contract templates to be used by paraprofessionals and/or stakeholders. Help to drive the Law Group KDG of a Global COE. Prepare and negotiate contracts, amendments and statements of work reflecting. Assess and mitigate legal and other risks in contracts in transactions. The candidate requires a JD from an ABA approved Law School and admittance to practice in NJ. Must have 10 years legal contract creation/negotiation experience, Supply Agreements and IT agreements in a highly regulated manufacturing environment. Strong negotiation, analytical, oral and written communication skills are required. Must have deep knowledge of legal issues in commercial transactions. Ability to prioritize a heavy workload under a tight schedule is required. should have excellent computer skills. Knowledge of international contract law, public contract law, Uniform Commercial Code preferred. Experience with contract management systems preferred.
