Corporate Counsel The candidate will proactively stay abreast of emerging areas of law in our industry, evaluate and mitigate risks, and provide legal advice to support the strategic direction of the company. Provide legal advice to support the strategic direction of the company and mitigate risk. Monitor compliance with the laws domestically and ensure key stakeholders fully understand their legal obligations. Interface with regulators conducting government investigations or inquiries. Contribute to establishing/amending company policies. Manage disputes/litigation and associated insurance coverage. Stay abreast of regulatory and industry developments with the company's domestic and international entities and proactively identify potential legal solutions to address risk. Negotiate and draft various types of agreements, including, but not limited to provider agreements, employment agreements, vendor agreements, marketing and joint ventures agreements, agent agreements and lease agreements. Draft and file business entity documents, company formation (including but not limited to corporations, limited liability companies and partnerships) and handle entity qualification documents and a variety of inter-company transactions. Review and approve advertising and sales material in accordance with established guidelines. Support special projects (long- and short-term) related to internal investigations and/or compliance programmatic initiatives. Juris Doctorate (JD) degree required. Minimum 5-8 years of relevant experience. Member in good standing in at least one (1) state bar. Prior in-house experience preferred.
