Corporate Counsel / Junior Corporate Counsel The candidate will draft, review and negotiate alongside business personnel a variety of commercial contracts with vendors, customers and other third parties (examples include, NDAs, Supply Agreements, MSAs, Consulting Agreements, Software License Agreements, POs. Lease Agreements, etc.). Assist the business and operations teams with understanding the meaning and implication of legal documents, clauses, etc. to the business. Create, update and improve contract templates, playbooks and other forms used by the organization. Support business leadership, as well as other members of the U.S. Legal group, by researching and analyzing complex legal issues and providing advice that ensures compliance with rules and regulations. Assist in various matters from time to time such as M&A deals, real estate transactions, (pre-) litigation, and labor issues. Work under swift time constraints while meeting deadlines. Work on cross-functional projects within the legal department. Assist in the development of policies and practices based on federal, state and local legal requirements. Prepare responses to inquiries from regulatory agencies and other applicable parties. Remain current on legal and regulatory issues affecting the company and the industry. Collaborate on various legal, business, and administrative functions by the head of the U.S. Legal group and the global legal department. Assist with the managing of outside legal counsels, for litigation and corporate transactional issues. Will be considered a valued business partner to the business and operations teams and contribute significantly in their growth by providing counsel on issues that impact their bottom line and providing internal training on the latest developments in law. Perform other duties as assigned. Juris Doctor (JD) degree is required. Must be fully licensed and in good standing to practice law in a particular jurisdiction is required. California jurisdiction is preferred. Should have 3 full years of commercial contracts drafting, negotiating experience, and corporate law exposure. Experience providing guidance for food or agricultural companies is strongly preferred. Excellent academic and professional background is required. Knowledge of federal, state and local laws is required. Ability to analyze case law and provide recommendations is required. Strong computer skills are required. Robust knowledge of contractual and corporate law, principles and best practices is required. Excellent research, drafting, negotiation and communication, both oral and written, skills are required.
