Senior Corporate Counsel The candidate will manage a wide range of legal responsibilities, including the support of active clinical trials, operations activity, research and development, and other key business functions. The role will also take the lead in the development and management of the company's corporate contracting, and will support additional business activities, such as human resources, compliance, business development, corporate governance, securities, and other legal matters. Report to the company's Chief Legal Officer and will work cross-functionally with internal departments and external resources as required on legal issues, support and advance the pipeline, develop and improve contracting and other processes, proactively identify legal risks, and coordinate with and support key stakeholders to ensure progress towards company goals. This involves close collaboration with the internal business teams to ensure an understanding of their needs, and foster partnerships, provide continuous improvement across the company, and contribute positively to the company's culture. Provide high quality, timely and practical legal advice and support, identify and resolve critical legal and business issues arising from various transactions within pre-clinical, clinical, business development and research and development. Lead the negotiation and drafting of a wide range of agreements. Develop and present materials on relevant laws and legal/business issues. Further develop and manage the company's contracting processes. Support significant transactions such as strategic partnerships, securities offerings, and other significant transactions. Play a key role in building and driving a culture of compliance throughout the organization. Perform other tasks and assignments as needed and specified by senior leadership.

The candidate should have J.D. from an ABA-accredited law school and admission to at least one state bar. Must have 10+ years of legal experience. Significant experience in life sciences is required. Must have experience negotiating and drafting a wide range of agreements, including clinical trial, research, development, material transfer, licensing, collaboration and sponsored research agreements. should have excellent organizational skills and able to work with a team to meet critical deadlines; flexible and capable of prioritizing workload and managing multiple projects simultaneously. Must have collaborative team player with excellent interpersonal skills. Excellent written and verbal communication skills are required. Target start date: 10/19/2020
