Assistant General Counsel - Corporate Transactions Duties: Draft, review, analyze and negotiate strategic and financing transactions, including: Strategic partnerships and investments; capacity purchase arrangements, Acquisitions and divestitures, Equity offerings and debt financings, Term loans and revolving credit facilities secured by various assets, Aircraft acquisition and disposition agreements; aircraft equipment consignment agreements. Engage in activities relating to aviation and general corporate financing, fleet, corporate development, United Express, and other corporate transactions, including: Participation in due diligence. Strategic dialogue with company stakeholders with respect to transaction-related decision-making, strategic processes and issue resolution. Proactively supporting the entire transaction process, including by leading, drafting and negotiating key transaction documentation, providing legal advice and counsel to the Corporate Finance, Fleet, Corporate Development, United Express, and other internal departments, and coordinating and supervising internal and external project teams to ensure the successful completion and integration of transactions. Anticipate, identify and manage risk and liability exposure. Provide practical, compliant and strategic legal advice and counsel to internal clients on a variety of matters as issues arise. Strategically and in a cost-effective manner, manage and partner with outside counsel to ensure execution and delivery of high-quality work product. Oversee and manage certain other strategic initiatives that are deemed important to the growth and future prospects of the Company.

Qualifications: JD Degree. Bar admission and active member in good standing in at least one state. 10+ years of practice with a law firm or large multinational company with considerable experience supporting sophisticated finance, corporate development, and general corporate transactions. Broad knowledge of corporate transactional disciplines including corporate and aviation finance, contract law, M&A, joint ventures and equity investments, among others. Excellent analytical skills and the ability to render persuasive, diplomatic, practical, creative and legally compliant advice in a timely fashion. Excellent business acumen with the judgment and ability to advise on legal issues within the business context. Excellent written and oral communication skills, especially of complex issues. Excellent interpersonal skills and strong planning/organization abilities. Effective problem-solving and decision-making skills. Proven ability to interact effectively with all levels of corporate management. Ability to handle multiple priorities and handle high-pressure situations and short deadlines. This role requires hands-on negotiation of complex transactions, and as such, being an effective negotiator with both arms-length counterparties and future business partners is required. Must be legally authorized to work in the United States for any employer without sponsorship. Successful completion of interview required to meet job qualification. Reliable, punctual attendance is an essential. Preferred: Previous in-house airline experience. Knowledge of the aviation/airline industry. Knowledge of federal securities laws, aircraft finance instruments and leases, loan agreements, credit and security agreements, and asset sale agreements, among others. Advanced knowledge of Microsoft Office including Word, Excel, PowerPoint, Outlook, etc.
