Corporate General Counsel The candidate will be advising executive, senior management and Board on various matters such as legal rights and new and existing laws. Managing organization's legal matters. Examining and creating draft agreements, such as employment and vendor agreements. Maintaining knowledge of organization's operations and legal documents. Conducting legal research and reviewing company's litigation strategy pertaining to legal actions. Promulgating and creating directives of corporate acts and decisions. Preserving all corporate records. Handling statutory filings, such as licensing forms. Liaising with outside counsel as needed or required. Creating new entities and managing organization's intellectual property. A knowledge of Federal Acquisition Rules (FAR) including FAR 12 & FAR 15 contracting structures. An ability to write and defend Commercial Item Declarations (CID). Administration of tax incentives. Administration of equity plan. The candidate should have Juris Doctor degree from accredited law school. Should have 5+ years practice with an established law firm. Experience with corporate governance issues. Strong understanding of Military, Commercial Aviation, and Automotive industry standards. Should have 5+ years experience negotiating contracts and protocols. Excellent verbal and written communication skills. Have 5+ years experience working with Intellectual Property and trademarks. Knowledge of statutes, rules and regulations pertaining to businesses. Proficient understanding of business sensitivity and confidentiality. Good base knowledge of employment law. US Citizen or Green Card holder required. History of working in Electric Vehicle, Aviation, Defense, or Space markets. Exhibits strong interpersonal skills. Strong Contractual knowledge. Contract Negotiating Skills. Strong Project Management skills. Demonstrated leader of cross functional teams in a matrix organization. Takes initiative and can work well in a sometimes-ambiguous work environment. Exhibits familiarity with Microsoft Word, Excel, Power Point, and Outlook. Demonstrates solid motivational and leadership skills. Maintains a professional but confident and outgoing demeanor. Is capable of conducting independent research. Demonstrates strong legal writing skills.
