Corporate Counsel The candidate will provide transaction leadership and's upport on a wide variety of's olar acquisition and development transactions, including managing, conducting and's upporting project due diligence. Negotiate and drafting of MIPAs/APAs,'s ite control agreements, PPAs/revenue agreements, term's heets/LOIs, NDAs, EPC agreements, and various ancillary agreements required in connection with company's project pipeline and deal-flow. Proactive management of transactions in order to minimize delay in execution of documents. Provide general organizational's upport to the legal department. Manage outside counsel. Assist in all corporate governance requirements. Assume other legal duties and's pecial projects as assigned by the General Counsel. The candidate's hould have Juris Doctor degree from an ABA-accredited law's chool. Must be a member in good's tanding of the Bar in's tate.'s hould have 3+years of experience as a transactional attorney,'s pecific expertise in's olar energy transactions and/or's olar energy project acquisition and development, is a definite plus. Excellent organizational, written and verbal's kills, with the ability to quickly analyze issues, craft practical, business-oriented's olutions and present complex information in a clear and concise fashion. Must be a's elf-starter with the ability to manage multiple projects's imultaneously and to consistently meet deadlines with high-quality work product in a fast-paced environment. Must's uccessfully pass background check and pre-employment drug testing. Must be authorized to work in the United's tates on a full-time basis for any employer. Prior in-house experience preferred.
