Corporate Counsel, Corporate Affairs & Securities Duties: Review quarterly earnings releases, earnings scripts, and other public disclosures. Review and prepare annual meeting materials, including annual report wrap. Prepare and review SEC filings, including 10-Ks, 10-Qs, 8-Ks, S-8s, 13Ds /13Gs/13Hs, proxy statement and Form SD (conflict minerals). Review 10b5-1 trading plans, assist with administration of insider trading policy, and prepare and review Section 16 forms (including Forms 3s and 4s) and Rule 144 forms. Provide Regulation FD and insider trading counseling and training, and related party transactions review. Legal support for Cisco's finance department (including global corporate reporting; tax; treasury and risk management; governance, risk and controls; investor relations; and stock administration teams), the corporate communications department, and the executive compensation/human resources department. Support Treasury transactions and matters, including working on debt offerings, credit facilities, and commercial paper, dividend and stock repurchase programs. Support the stock administration team, including review of equity plans and compliance with local securities regulations worldwide. Provide support to the mergers and acquisitions team relating to securities and corporate law matters. Other general corporate matters and special projects. Provides support in general corporate and securities law matters. Support compliance with SEC rules/regulations, Nasdaq listing requirements, Sarbanes-Oxley rules/regulations, and Dodd-Frank rules/regulations; Implement and execute corporate secretarial processes and procedures, and corporate governance initiatives; and Provide advice and counsel to the finance department (including global corporate reporting; tax; treasury and risk management; governance, risk and controls; investor relations; and stock administration teams), the corporate communications department, and the executive compensation/human resources department.

Qualifications: JD Degree and excellent academic credentials. You are a State Bar member in good standing. 5+ years of relevant legal, in-house, and/or law firm experience. Prior in-house experience with a public company and/or experience working with high technology companies, especially as it relates to the primary responsibilities listed below. Detailed-oriented and a critical thinker. You have the ability to think strategically and give practical advice. Track record of conducting a careful and thoughtful analysis of complex corporate governance and securities law issues and applying such analysis to produce high quality work. Extraordinary communication skills. Adaptability and ability to self-start. Strong organizational skills. Ability to Positively Disrupt.
