Associate Counsel, Corporate and M&A Duties: Advises and counsels on diverse issues of laws that arise in the Company's business operations; researches corporate legal and regulatory issues and applies technical legal knowledge to advise clients in complex business situations; assists clients with risk identification and management. Plans, negotiates and executes all legal aspects of corporate transactions, including M&A, joint ventures, and private equity investments; supports transactions which involve the development or procurement of new or expanded products, services, and business relationships in pursuit of strategic initiatives. Provides corporate governance support to the Company and its subsidiaries, including board support and support with corporate filings, consents, resolutions, and conflict of interest matters. Drafts, negotiates, and reviews legal agreements. Drafts and reviews significant corporate and transactional documents on behalf of the Company and its subsidiaries. Advises and updates business clients on timely and relevant legal issues. Assists the Company and its subsidiaries with assuring compliance with all law and regulations governing its business, including preparation and timely submission of mandated regulatory filings. Researches, interprets, and advises on statutory and case law, administrative rules, and regulations. Participates in development of, interprets, and improves Company policies. Assists the Company with implementing existing and new programs, policies, and procedures.

Requirements: Graduate of an accredited law school. 6 years of professional legal experience in private or in-house law practice. Licensed to practice law in North Carolina or must obtain License within 2 years of employment. 3 + years experience in M&A/corporate department of well-established law firm is preferred. Experience in healthcare matters, including transactions involving payers and/or providers, is preferred. Effective oral and written communication; strong problem solving and prevention skills; possesses competence and experience in area(s) of law relevant to his/her position; ability to work well individually and as a team member.
