General Counsel & Compliance Officer The candidate serves in a key leadership role for the company, a supplier of casino gaming products and services, and its affiliated entities (collectively, the "Company"). Will be responsible for optimizing business outcomes in all legal matters in support of the Company's operational and strategic objectives, solving complex legal matters, and assisting with general oversight of all Company operations. Responsibility for all legal and compliance related matters, including: the negotiation and drafting of a wide range of commercial agreements, government relations, regulatory compliance, software and other intellectual property licensing matters, corporate governance, risk management, and supporting the Company's business development and product development functions. Manages and works closely with the Company's outside counsel on matters that include intellectual property and litigation. Works closely with the Company's internal and external accounting professionals, provides oversight and direction to accounting and finance staff members, and monitors the overall financial well-being of the Company. Assume primary legal responsibility in the preparation of customer agreements and supporting the Company's sales department. Provide advice and counsel to senior management on legal risks and strategies in a variety of domestic and international transactions, arrangements and relationships. Assume primary legal responsibility for all phases of strategic alliances with company partners, from the preparation and negotiation of distribution agreements, software and intellectual property license agreements, and joint venture agreements to ongoing relationship management. In conjunction with senior management, provide legal support for new market development, new product development, and general business development efforts. Responsible for reviewing and ensuring compliance with all federal, state, and local laws, rules, regulations, as well as the Company's internal compliance policies and procedures. Prepare on-going compliance reports for the Company's compliance committees, serve as a member of the Company's compliance committees, maintain committee minutes, and act as chairperson for all committee meetings. Manage relationships with outside counsel, regulatory authorities, government representatives, and other legal professionals within the gaming industry.

The candidate should have Juris doctorate degree. Must have 3-10+ years private law firm or in-house legal management experience in commercial agreements and gaming regulatory matters. Experience managing and supervising support staff in a corporation; experience with cost-effective management of outside legal resources are required. Must have strong communication and writing skills.
