Assistant General Counsel, Real Estate The candidate responsibilities include: Drafting and negotiating leases and related agreements, including new leases, amendments, lease exhibits, subleases, licenses, subordination and non-disturbance agreements, estoppels, construction contracts and remodeling SOWs, and facility management procurement contracts. Owned property due diligence and negotiating purchase and sale agreements. Interpreting existing lease provisions and quickly providing actionable advice to our Real Estate team, Legal Department colleagues, the General Counsel, and other members of management on our rights, obligations, and risks under leases. Supporting the real estate aspects of any M&A activity. Assisting in drafting company policies. Collaborating closely with other Legal Department colleagues and functional support groups to provide general legal advice and counsel, particularly with regard to client contracts, litigation, and environmental matters.

The candidate should have BS / BA. Must have J.D. from a top-tier law school. Should be licensed to practice law in one or more relevant jurisdictions. Should have 5 years of experience focused on drafting and negotiating commercial leases with a heavy emphasis on office leases and running a real estate negotiation from start to finish. As such, thoughtful and effective negotiation and drafting skills, combined with a comprehensive knowledge of favorable lease terms and approaches, are critical. Must have ability to write clearly and effectively in business and legal correspondence and reports. Should have ability to diplomatically but effectively negotiate a wide variety of lease-related contracts with counsel. Strength in modeling exemplary behavior to internal teams and external resources are required. Must have ability to effectively present (orally and in writing) information to all levels of an organization. Knowledge: Commercial lease provisions and interplay with business case, with a heavy emphasis on office lease provisions. Tenant-friendly and landlord-friendly versions of real estate matters. Thorough understanding of the meaning of lease clauses and the legal aspects of real estate operations generally. Business and financial acumen.
