Corporate Counsel Responsibilities: Ensure compliance with securities laws, rules and regulations. Prepare (with cross-function teams, as warranted) and file Forms 8-K, 10-Q and 10-K, registration statements, proxy statements and all related filings. Lead preparation for the annual shareholders meeting. Advise members of executive management regarding securities activities. Review, advise and assist with filing/publishing quarterly earnings releases, investor presentations, quarterly and annual reports and other public communications. Advise on all executive compensation activities, maintain and update form equity award agreements and oversee section 16 officer filings and related activities. Assist with capital markets due diligence requests, transaction documents, and communications. Draft, negotiate or review non-disclosure agreements. Assist with drafting and negotiation of asset and equity purchase/sale agreements, joint venture agreements, and the like. Oversee and take responsibility for due diligence activities. Collaborate with and provide support to the other members of the Legal team. Manage the work of outside counsel to ensure efficient and cost-effective support. Support the continuous improvement of legal processes to promote efficiency. Contribute positively to the culture of the Legal team and the company as a whole. Stay abreast of and update other members of the team and internal clients about pending changes in securities and other laws applicable to the company.

Requirements: Law Degree from a top tier U.S. law school or top 10% class rank from other U.S. law school. Admitted to the bar of at least one US state or the District of Columbia. 2-3 years of experience working in a top tier law firm and/or in-house legal department. Experience managing securities and corporate finance matters at a larger law firm or public corporation. Substantial familiarity and recent experience with SEC/exchange rules and filings. Prior experience providing legal counsel directly to business clients. Preferred: Experience in supervising and coordinating outside legal counsel and other advisors You:. Have had substantial experience in each of the items in Roles and Responsibilities above. Have strong business acumen with an understanding of financial metrics and P&L fundamentals. Are excited to work in a fast paced and intellectually challenging environment. Possess excellent analytical and organizational skills. Have the ability to work remotely, both independently or as a part of a team. Have had success managing multiple projects at once, synthesizing information from multiple sources, and meeting deadlines. Have exceptional judgment with the ability to cope with competing priorities. Are resourceful and creative in your approach to problem solving. Have exceptional written and oral communication skills. Are focused on pragmatic business advice and solutions. Are a true professional have the demonstrated ability to build and maintain trusted relationships with internal clients and other stakeholders. Have humility, a positive attitude and good sense of humor, even if occasionally sleep deprived.
