Associate Director, Corporate Counsel Duties: As a member of the Contracts Group in the Law Department's Transactions Law Group, this attorney will draft, review and negotiate a wide array of contracts for Global Development and Strategic Sourcing and Procurement, and will provide clients with related advice and counsel. Among other complex transactions, this role will be responsible for Research Collaborations Agreements, Sponsored Research Agreements and Material Transfer Agreements for the Clinical Experiment Sciences group and Master Services Agreements, Laboratory Services Agreements, Vendor Agreements, Statements of Work and License Agreements for Strategic Sourcing and Procurement in support of their Global Development Clients. Will report to the Executive Director, Assistant General Counsel and Head of the Contracts Group of the Law Department. Drafting, negotiating and bringing to execution critical research enabling agreements for the company. Drafting, negotiating and bringing to execution vendor agreements critical to the company's global development operations. Providing legal support for a wide variety of business transactions, namely clinical experimental sciences agreements, research collaboration agreements, sponsored research agreements, material transfer agreements, master services agreements, laboratory services agreements, vendor agreements, statements of work, license agreements, consulting agreements and confidentiality agreements. Supporting the company's contract management system and its Contracts policies and practices and guiding internal clients on them. Training areas of the organization on processes and policies Working collaboratively with the Privacy Group, the Compliance Group, and Strategic Sourcing and Procurement, specifically Clinical Sourcing. Work independently, while meeting aggressive deadlines and prioritizing multiple matters. Collaborate closely with internal clients (including scientific and business leaders) with strategic transactions. Maintain an independent and objective perspective while developing and maintaining a strong partnership with client organizations and protecting Regeneron's interests. Work effectively and expertly with colleagues & clients in a collaborative environment. Collaborate and advise key stakeholders, including senior management, on contracts group policies and procedures.

Qualifications: The level of counseling requires a deep understanding of life sciences and general business transactions and related legal issues, as well as outstanding drafting and negotiation skills. Will have experience drafting, negotiating and advising regarding complex, strategic agreements facilitating science and research and in effectively and collaboratively counseling clients. Have exceptional oral and written communication skills. Must have: A solid understanding of contracts and related law; Experience working in/with biotech/pharmaceutical industry; Experience with contracts related to clinical development of biologics and/or pharmaceuticals; Experience with contracts involving intellectual property; JD with excellent law school credentials; Licensed to practice law in New York or be eligible for licensure as a registered in-house counsel is preferred; 5-10 years of legal experience at a law firm and/or in-house, including biotech/pharmaceutical and/or health care experience.
