Counsel - Real Estate And Compliance The candidate will be reporting directly to the General Counsel and working closely with outside counsel and compliance consultants, the Counsel (Real Estate & Compliance), will take primary day?to?day responsibility for legal matters related to the firm's real estate separate accounts and funds, as well as for developing, updating, implementing, monitoring, and managing the compliance function at the firm as a registered investment adviser. Will also work closely with finance, human relations, and business development/capital formation to maintain best practices and processes across all business areas related to the firm's real estate strategies and compliance. The Counsel (Real Estate & Compliance) will, either solely or in conjunction with the General Counsel, be responsible for the following: Lead the legal aspects of formation, fundraising, and maintenance of the real estate funds and separate accounts, including the drafting and negotiation of key fund documents, oversight of outside counsel, acceptance of new investors, and LP transfers; Coordinate with outside counsel and advise investment teams on real estate closings, including; Partner with real estate investment team to address fund, separate account, and real estate legal issues; Serve as primary legal point of contact for property manager affiliate; Manage NDA and joinder process in conjunction with outside counsel for all real estate and internal matters; Prepare and review consulting agreements, vendor contracts, engagement letters, LOIs, IOIs, and similar legal documents for real estate separate accounts and funds, as well as for itself. Work with human relations and managing directors on employee contracts, executive terminations, and related issues. Monitor all real estate related entities, directors, and officers. Maintain and update all documentation related to real estate separate account and fund entities, including governing documents, approval matrices, and consents Create and maintain processes to streamline workflows, ensuring efficiency, productivity, and compliance. Maintain, monitor, and update the firm's compliance policies and procedures. Review all real estate and general marketing materials for compliance with relevant securities laws and the Investment Advisers Act, assist in the preparation of responses to due diligence questionnaires, and respond to ongoing information requests from limited partners. Respond to investor due diligence and other legal or regulatory requests. Conduct in?house reviews to test compliance policies and procedures and initiate any requisite follow?up action. Oversee the preparation of Form ADV, Form PF, and other Investment Adviser related filings. Respond to time?sensitive, compliance?related inquiries from investment professionals. Fulfill the firm's ongoing compliance reporting. Manage FCPA, ESG, and corporate governance concerns. Manage the preparation and filing of all SEC reporting by the funds and management companies, including Section 16 reports and Schedules 13D, F, G and H, as necessary.

The candidate' must have 4?6+ years of legal experience at a top?tier law firm, handling fund formation, transactional work, or similar matters for real estate clients, and advising on issues particular to real estate. Should have Top academic credentials. Must have excellent organizational skills with keen attention to detail and accuracy. Should have outstanding verbal and written communication skills. Must have Business acumen and the ability to synthesize information to reach logical conclusions. Should have High degree of initiative, self?direction, and ability to work independently and within a team.
