Corporate Counsel The candidate will serve as the head of the legal department and is responsible for managing all day-to-day legal matters for company, including working closely with company executives to review, advise, and negotiate contracts of various types. These contracts include sales, vendor, NDAs, and DPAs. In this role will also be responsible for managing corporate governance matters for company and drafting legal templates to be used across the organization. As Corporate Counsel will also support compliance matters together with company s Compliance Department and oversee company s Corporate Compliance Specialist. As the Corporate Counsel will develop and improve upon legal processes. In this role support the continuing growth of this fast-paced company. company depends upon the Corporate Counsel to support management and assist with mitigating business risks. Focus on contract management, corporate governance, and policy advice. Reports to: Chief Financial Officer. Draft and manage all corporate governance and equity matters for the organization. Create and manage corporate legal budget and create department efficiencies to scale with continued growth. Provide ongoing support for corporate activity. Negotiate and draft a high volume of strategic contracts for sales and vendors, including Business Associate Agreements and Data Processing Agreements. Conduct legal and factual research and data analysis as directed. Interpret and ensure corporate compliance with laws and regulations. Maintain corporate existence filings and evaluate nexus and maintenance for compliance matters, including licensing, reporting, and state and local tax purposes. Efficiently and effectively manage outside counsel as necessary. Advise on employment matters. Must have 5+ years of contracts experience in the technology industry. JD and license to practice in Florida is required. Advanced-level skills in Microsoft Office Suite required. Legal research skills required.
