VP, Legal Counsel, IP And Contracts The candidate will be a senior-level attorney who has overall responsibility for general contract matters, and global patent and other intellectual property (IP) matters, for Company. Will work with Company employees across multiple functional areas to establish and maintain contracts with third parties, including contract drafting, contract reviews, as well as support for Legal Department operations, including budgeting, and invoice review. Will also track, build and maintain Company s licensed IP, as well as Company-owned IP. Will include advising senior management, coordinating with licensors and outside counsel, patent preparation and prosecution, rendering legal opinions with respect to IP, and related transactional work. In collaboration with senior management, further develop a comprehensive IP strategy that protects and furthers Company s technology and competitive positions. Participate in and manage the preparation, filing and prosecution of patent applications. Manage licensors and outside patent and trademark counsel, as applicable. Monitor and analyze competitive intelligence to inform strategic patenting. Conduct intellectual property due diligences for various types of corporate transactions, including research collaborations and acquisitions. Work directly with internal and external scientists to guide experimental design and gather and summarize data necessary to support patent filings and related activity and lead the drafting of provisional patent applications. Assist Company in assessing opportunities to identify, create and protect valuable intellectual property. Review and advise senior management on intellectual property provisions in various types of agreements including licensing agreements, collaboration agreements, and MTAs. Draft, review and negotiate routine business contracts (such as NDA s, consulting agreements, service agreements, clinical trial agreements, MTAs, subscription services agreements). Advanced degree required in a scientific discipline such as oncology, immunology or another discipline relevant to the research and development of immuno-oncology products. J.D. from an accredited law school. 7 years experience as an IP attorney in a biotech/pharmaceutical company and/or law firm supporting such companies. Admitted to practice by the U.S. Patent and Trademark Office, and preferably admitted to the North Carolina State Bar or eligible to waive-in. Possess specific scientific and legal knowledge of the biotechnology space, particularly with respect to immuno-oncology.
