Associate Director / Director, Contracts Counsel

Associate Director / Director, Contracts Counsel The candidate will be responsible for: Preparation and negotiation of contracts, including: CRO master service agreements, clinical trial agreements (US and ROW), development and manufacturing agreements, sponsored research agreements, consulting agreements, confidential disclosure agreements, and material transfer agreements, and license and collaboration agreements, independently, as well as in coordination with external counsel. Engage with R&D teams early in the contracting process to interpret and advise on business implications of proposed agreement(s) throughout the negotiation cycle. Work directly with Finance and Business Development teams to consider risks and dependencies of proposed contracts. Assist with SEC public company work and other legal tasks, as needed. Analyze contracts to ensure compliance with company policy and regulations. Advise internal clients on contract interpretation, dispute resolution, risk allocation, and other legal matters in a pragmatic way that results in actionable business advice. Lead initiatives to improve contract processes and workflow. Oversee the development of template agreements, fallback provisions, and negotiation guidelines. Educate internal clients regarding contract policies and processes. Must have JD from accredited law school and license to practice in at least one US jurisdiction. Should have 5 + years professional experience, with at least 3 years experience in contracts negotiation and administration in the biotech or pharmaceutical industry. Experience with business development and SEC public company legal work preferred.
