Corporate Counsel The candidate will draft, review, negotiate and interpret commercial contracts and other documentation Create and update internal company form documents to support policies and oversight efforts in regulatory compliance. Work with other colleagues to establish processes, structure, methodologies and procedures as needed or required. Provide timely and thoughtful legal advice on potential risks and issues, and propose practical, responsive solutions. Advise on various issues such as regulatory compliance, privacy, antitrust and competition laws, advertising/promotional matters, corporate governance, fiduciary duty, ethics, and strategic transactions. Consistently anticipate and provide timely guidance of mitigation strategies to guard against potential risks in the areas of contractual obligations, regulatory compliance, revenue recognition, defending intellectual property, and financial matters, and provides ongoing legal counseling and pro-active support in the areas of, claims avoidance and defense in matters of labor law compliance, worker s compensation compliance and other general corporate liability obligations. Educate local and global management teams on understanding relevant issues in U.S. and/or International law as necessary to advance Incora s business goals, including the development, recommendation, and communication of Incora policy and positions on legal issues. Partner with sales executives, as well as colleagues in the legal department, to discuss and implement best practices and formulate new processes in connection with business needs. Attend company internal or external meetings, as well as company sponsored events or legally required training, as requested or necessary. Uphold federal and State labor laws. Perform other duties as assigned. Must have JD degree from an accredited law school, bar admission. Outstanding academic credentials (excellent academic record at top tier law school) required. Should have 3+ years of experience in a corporate or major law firm environment. A strong diverse corporate background is required, with direct experience in corporate, finance and other transactional matters. Experience with commercial transactions is strongly desired. Member of the bar of at least one state and eligible for admission to the California bar as in-house counsel, although admission to the California bar is preferred.
