Corporate & Securities Counsel The candidate will lead the preparation and review of SEC filings, including registration statements, Forms 10-K, 10-Q and 8-K, proxy statements (including shareholder proposals and proxy solicitations) and Section 16 reporting, including Forms 3, 4 and 5. Support M&A initiatives and other strategic transactions, including corporate financing transactions. Advise on investor relations matters, including review of earnings announcements, press releases, investor presentations, investor communications and other materials (including preparation of appropriate securities disclosure as necessary). Develop and maintain, and advise on, policies and procedures to ensure compliance with SEC and other securities-related regulatory requirements applicable to publicly-traded companies, including the Sarbanes-Oxley Act, Dodd-Frank Act and stock exchange listing standards, Regulation FD and insider trading. Work closely with our finance and equity team on equity matters, including equity plans, capitalization, and compensation issues. Remain up-to-date on relevant securities law and corporate governance developments and collaborate with the rest of the Legal & Compliance team. The candidate should have 7+ years of combined, relevant experience at a leading law firm as a securities and/or capital markets attorney and significant time in-house at a public company. Experience with late stage, high growth companies, including IPO preparedness and execution is preferred. M&A experience, including diligence, execution and integration is desired. Familiarity with public company accounting, tax and finance processes, terminology, systems and issues, including a basic knowledge of financial statements and GAAP accounting preferred. Experience relating to a SaaS and/or Fintech focused business is preferred. Knowledge and deep expertise in the application of corporate and U.S. Securities laws, corporate governance and board governance matters, including best practices. Must have strong experience with coordination and timely and continuous filing of disclosure documentation with the SEC and stock exchanges. Highly disciplined, able to make independent decisions and work with limited supervision while excelling in a fast-paced, dynamic and demanding environment. Inquisitive, engaged and proactive in identifying legal issues and risks and proposing creative and effective solutions. Excellent verbal and written communication skills with the ability to present sophisticated issues in a clear and persuasive manner is required.
