Senior Corporate Counsel

Senior Corporate Counsel Responsibilities: Draft, review, and negotiate commercial agreements, including but not limited to, SaaS subscription agreements, reseller and managed service agreements, licensing, technology partnership, and other operational agreements. Interface with internal teams to develop and negotiate a wide variety of sales, channel, partnership, support, licensing, services and marketing contracts. Draft and review merger or acquisition agreements including asset or stock purchase agreements and related transaction agreements; assist with diligence as appropriate. Review financing transaction agreements including equity issuances and loan agreements. Remain abreast of applicable laws and regulations surrounding IP, data privacy and security and implement appropriate changes to corporate policies. Create and monitor, as necessary, corporate subsidiaries to ensure their compliance with local and international operating requirements. Manage corporate governance matters including board of director actions, human resource objectives and other compliance issues. Collaborate with human resources and finance to create and manage equity and compensation plans. Assist in managing IP portfolio. Conduct periodic employee trainings on any or all of the above. Manage staff member(s) and outside counsel, as necessary.

Qualifications: Juris Doctor (JD) degree from an accredited U.S. law school. Membership in good standing with the Maryland bar. Relevant legal experience, preferably gained while practicing in a combination of corporate / commercial environments, typically obtained in 10+ years. Experience practicing both in-house and at a leading law firm is ideal. Practical experience in enterprise software, preferably SaaS, with a focus on negotiating software- or technology-related license agreements. Solid knowledge of commercial law, contract law and revenue recognition principles. Experience in cyber security or other high tech preferred especially with data privacy and security issues in the technology space. Excellent interpersonal skills, business judgement, strategic thinking, and superior work ethic.
